§ 1
General

All orders are only accepted in writing.
All prices are subject to alteration without notice and goods will be sold at the W + P Price-offers on date of despatch.
In case of late delivery, later than 3 month after order, previous are not valid anymore.
All prices are net, without any tax and valid ex factory Barmstedt

§ 2
Delivery

All kinds of delivery are ex factory.
Costs of transportation will be added on each  commercial invoice, exceptional if the customer will send his own forwarding agent.
Goods are only insured according to international transport insurance contracts. If a special insurance policy is requested by the customer, should this information be send to W + P together with the original ordder.

§ 3
Non-delivery

W + P shall have no liability in respect of local strikes, official government restrictions and in case of productions stand still, due to fact of delivery problems by W + Ps raw-materials supplier or in case of manufacturer problems with in the plant.
In case of chapter 1 the customer has the right of cancelling his order, if he sends his cancellation at least three weeks in advance by registered mail.
Claim for damages are according to the first two chapers invalid.

§ 4
Payment

All invoices are executed on same day of delivery to the forwarder.
Official credit terms in general are 30 days. If payment will be arranged within 10 days, W + P grants a discount of 2 %.

§ 5
Delay of payments

Interest rates for payment will be charged with 5 % according to the daily discount-rate of the German National Bank.
Before invoices which are due, incl. interest rates, are not fully paid, W+ P is not responsible to arrange for new goods to be delivered.
Reminders will be invoiced from W + P 
first reminder: free
second reminder: 3,- Euro
third reminder: 8 ,- Euro

§ 6
Credite Note

All credit-notes will be automatically re-invoiced with the next commercial invoice on the due date.

§ 7
Claims/goods returned

Claims would be only accepted in writing and with reference to the original commercial invoice.
All claims are only accepted within 8 days after receipt of the goods.
Please note that opened and used goods are not accepted for credit or replacement. The goods must be in the same conditions as they wree in at time of despatch by W + P to the customer.
Changes accordingly to international standard, or little differences returning out of irreparable technical manufacturer standards are out of any claims.
In case of correct claims, W + P has the right to return goods within 6 weeks after receipt of the claimed goods.
Returned goods can only be changed after written confirmation by W + P.

§ 8
Reservation of ownership

The delivered goods are as lond in the property of W + P till the customer has fulfilled all outstanding debts of this businessrelationship.

§ 9
Place of fulfilment and cout of law

Place of fulfilment for all achievements out of the delivery contract is the headquarter place of W + P.
